Hugh Sims QC represented a party to a company dispute concerning, amongst other things, whether the action was properly constituted, and whether or not a cost order should be made against a firm of solicitors. The court of appeal considered the doctrine of laches and whether it could be used to prevent a challenge to the authority of a director to cause a company to bring proceedings if it would be “practically unjust” to allow that challenge to continue.
