Lessons from Burnden Holdings: limitation, dividends, unlawful distributions, breach of duty

On 19 June 2019, after nearly six years of legal proceedings, Mr Justice Zacaroli handed down judgment in the case of Burnden Holdings (UK) Limited v Fielding [2019] EWHC 1566 (Ch).
In this breakfast briefing, Stefan Ramel and Simon Passfield will dissect this comprehensive decision (which runs to 513 paragraphs) and consider the practical and legal consequences for office holders and directors.
In particular, the talk will address: (i) the limitation period for breach of fiduciary duty claims; (ii) unlawful distribution claims; and (iii) challenges to grants of security.
