What is in a label? ‘Profit extraction’, distributions, remuneration?
A number of recent judgments, all given in cases involving tax avoidance schemes, have wrestled with the proper characterisation of payments (or other transfers of assets) made by companies to their directors and shareholders (remuneration? distributions?), and the consequences of unravelling those payments. The decisions do not all speak with one voice and as a result, they leave the law in an uncertain state.
As well as analysing the decisions reached by the courts in Toone v Ross (Re Implement Consulting Limited) [2019] EWHC 2855 (Ch), Allen v Bernard (Re Vining Sparks UK Ltd) [2019] EWHC 2855 (Ch) and Ralph v Stoneham (Re Chalcot Training Limited) [2020] EWHC 1054 (Ch), this webinar will explore the proper characterisation of payments by companies to directors and shareholders from a company law and insolvency law perspective.
